We specialize in providing critical and unbiased advice to clients on complex balance sheet issues and transformational situations. Our track record includes pre-emptive recapitalizations, structuring and advice on public offerings, inter-creditor and shareholder negotiations, acquisitions and sales of distressed companies and assets, debt and equity exchange offers and restructuring, and a range of other advisory services for a diverse client base. We strive to reach consensual deals that are in the best interests of our clients. We have an established history of brokering transactions in situations with divisive inter-creditor and shareholder issues. Unlike most other firms, our professionals combine an extensive knowledge of restructuring strategies with M&A expertise, credit analysis skills, capital markets knowledge, industry expertise and negotiation experience in distressed situations.

Our track record also includes advising governments, institutions and corporations on large public offerings of equity and debt securities, often for purposes of acquisition financing, rights offerings, strategic alternatives for minority equity positions and multi-class equity structures, private placements and funding alternatives, as well as a wide range of other financing based strategic decisions. We have extensive experience negotiating and structuring tailored solutions for our clients with no conflicts from other business activities or product offerings to influence our advice.



We specialize in advising on out-of-court restructurings and recapitalizations. We have engineered many transactions with favorable outcomes for our clients. We negotiate with creditors on behalf of our clients, especially in cases of financial stress or distress. We advise on and structure a wide variety of transactions, including tender and exchange offers, rescue financing or recapitalizations, “amend and extend” amendments, as well as pre-packaged bankruptcies.

Working closely with our Capital Markets Advisory and Debt Market Advisory groups, we advise clients in stressed or distressed situations on capital structure and capital raising. For clients raising capital in the public markets, we advise and negotiate on their behalf in selecting lead underwriters. We also have extensive expertise in the negotiation and placement of private securities. When a company has decided to sell a company or selected assets, we assist clients to achieve optimal pricing results. We help clients weigh the pros and cons of sale strategies, including selling the company or assets as an alternative to bankruptcy, a sale implemented through a Plan of Reorganization, and “loan-to-own” purchase of securities. We have substantial experience on Chapter 11 proceedings, although this would generally be a last-choice strategy for clients. Our knowledge can benefit clients entering Chapter 11, as well as those who wish to consider Chapter 11 relative to other strategies. When creditors challenge a Plan of Reorganization in court, expert testimony can be a critical factor in the resolution of a Chapter 11 proceeding. Our clients have an advantage in this regard. Our senior restructuring professionals are among the most respected experts in Chapter 11 cases. We have a strong pattern of performance testifying in support of our clients’ Plans of Reorganization.

We have advised on the largest and most complex restructuring situations with challenging stakeholder negotiations regarding obtaining covenant waivers and amendments, structuring and executing liability management transactions such as exchange or tender offers and consent solicitations, raising new debt and equity capital for complex and/or highly leveraged situations, designing and implementing financing-driven recapitalizations, buying or selling non-core assets or entire companies in a distressed context, developing, negotiating and executing prepackaged or pre-arranged Chapter 11 restructurings, traditional Chapter 11 restructurings, cross-border and international recapitalizations, and providing expert valuation and testimony services. We do the above by consistently evaluating options and strategies, advising on restructuring pathways, assuming interim management roles, overseeing liquidity management, negotiating with lenders and other creditors on behalf of clients, conducting refinancing and recapitalizations preparation, providing valuations, managing third-party due diligence, and/or assisting with the M&A processes, wind-downs and/or liquidations.
